You hereby agree and grant to HCS permission to use, publish, re-publish, reproduce, and display the Organization's trademarks, service marks and logos in HCS's marketing materials, on the website in AIDA and any other HCS products, and in any printed or electronic directory forming a part of HCS and AIDA and its products, in any and all media.
You represent and warrant to HCS that all Organization content shall be true, accurate and complete, and shall not infringe any intellectual or other proprietary right of any third party. HCS is not responsible for ensuring the accuracy or completeness of Organization content. You shall provide HCS with prompt notice of any change to Organization content or update it manually in AIDA or other HCS products. You shall provide verification of Organization content upon HCS's written request. HCS may disclose and publicize in its marketing materials, on the Website and any printed or electronic directory forming a part of HCS its relationship to the Organization hereunder to the Clients, prospective Clients and other third parties, and may identify itself as a "Marketing Partner" for the Organization.
Any agreement or arrangement between You and the Client, Hospitals and other Care Providers including without limitation, any Client Contract, shall be between You and the Client. For avoidance of doubt, HCS shall not be a party to any such agreement or any Client Contract. You shall bear full responsibility for the operation of the Organization, including all policies, practices, products, and services offered to Clients.
4. Trademarks. Our company name, brand, logo, and all related names, logos, product and service names, designs, slogans and other source indicators used on the Website are trademarks of HCS or its affiliates or licensors. Other product and company names and logos appearing on the Website may be registered or unregistered trademarks, service marks or trade names of their respective owners. Any use by you of the trademarks, service marks or trade names displayed on the Website is strictly prohibited, and nothing appearing on the Website will be construed as granting, by implication or otherwise, any license or right to use any of those trademarks, service marks or trade names.

o 15.4 Injunctive Relief. You agree that HCS may bring suit in any court of competent jurisdiction in order to enjoin infringement or other misuse of HCS's or its affiliates or licensor's intellectual property rights.
o 15.5 Limitation on Time to File Claims. Any cause of action or claim you may have arising out of or relating to these terms or the website must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred (if applicable law prohibits a one (1) year limitation period for asserting claims, the claim must be asserted within the shortest time period in excess of one (1) year that is permitted by applicable law).
